QuickBooks Keeps Asking to Register or Won't Activate? Reset the Files and Re-activate
QuickBooks Desktop keeps prompting you to register/activate even though you already did, won’t hold its activation after a repair, or says it can’t read your license. The cause is a corrupt local license file on that PC — and the fix is to let QuickBooks rebuild it and then re-activate with your license.
What you’ll need: your License Number and Product Number (on your original purchase confirmation, the product packaging, or in your Intuit account under your products). Re-activation re-proves your license to Intuit — so have those handy before you start.
The right kind of “moving a file”: this resets the file on the same PC so you re-activate. Do not copy these files from another computer to skip activation — Intuit’s design is to re-activate with your license number, copying is unsupported and breaks licensing. If you don’t have your license number, retrieve it from your Intuit account, not from another machine.
Fix 1: Recreate qbregistration.dat (re-register)
- Close QuickBooks. (Tool Hub users: you can also run Installation repair here, which rebuilds this automatically.)
- Open
Win + R→ pasteC:\ProgramData\Common Files\Intuit\QuickBooks→ Enter. (Turn on Hidden items in File Explorer’s View menu if the folder looks empty.) - Find
qbregistration.dat→ right-click → Rename → change it toqbregistration.old. - Reopen QuickBooks and your company file → follow the prompts to register again. A fresh
qbregistration.datis created.
Fix 2: Delete the entitlement file (re-activate)
If it still won’t activate (or you see Error 3371 — “could not load the license data”):
- Close all QuickBooks processes (Task Manager → end any
QBW32.EXE). Win + R→C:\ProgramData\Intuit\Entitlement Client\v8→ Enter. (Older installs: try…\v6.)- Delete
EntitlementDataStore.ecml. - Reopen QuickBooks → it rebuilds the file and prompts you to activate → enter your License & Product number.

Fix 3: Moving to a new or replacement computer
If the goal is a new machine (old one dying/replaced), don’t hand-copy license files — use the supported path:
- Old PC still works: use Intuit’s Migrator Tool (File → Utilities → Move QuickBooks to another computer) to move the install + company file, then activate.
- Old PC is dead: reinstall QuickBooks on the new PC and activate with your License & Product number. (For a discontinued year, activation may still go through; if it doesn’t, contact Intuit — see QuickBooks Desktop 2023 discontinued for what still works.)
FAQ
I don’t have my license number anymore. Sign in to your Intuit account and look under your products/subscriptions, or use Intuit’s license-lookup/recovery. That’s the supported way to recover it — not copying files off the old disk.
Will resetting these files delete my company data? No. qbregistration.dat and EntitlementDataStore.ecml only hold license/registration state — your .qbw company file is separate and untouched. Still, keep a backup of your company file as a habit.
It re-registers but asks again next launch. The registration isn’t sticking — repair the install (Tool Hub → Installation repair), and make sure your Windows user can write to C:\ProgramData\… (a permissions issue there stops the new file from saving).
