QuickBooks Keeps Asking to Register or Won't Activate? Reset the Files and Re-activate

QuickBooks Desktop keeps prompting you to register/activate, won’t hold activation after a repair, or cannot read the license file. A damaged local registration or entitlement file is one possible cause. The two files below have different repair procedures: qbregistration.dat must be recreated explicitly; do not assume QuickBooks regenerates it automatically.

What you’ll need: your License Number and Product Number (on your original purchase confirmation, the product packaging, or in your Intuit account under your products). Re-activation re-proves your license to Intuit — so have those handy before you start.

The right kind of “moving a file”: this resets the file on the same PC so you re-activate. Do not copy these files from another computer to skip activation — Intuit’s design is to re-activate with your license number, copying is unsupported and breaks licensing. If you don’t have your license number, retrieve it from your Intuit account, not from another machine.

Fix 1: Recreate qbregistration.dat (re-register)

Have the license/product numbers and exact installed edition/year ready. Keep the old registration file for rollback; a missing or incorrectly created qbregistration.dat can stop QuickBooks opening.

1. Close QuickBooks.
2. Open Win + R → paste C:\ProgramData\Common Files\Intuit\QuickBooks → Enter. (Turn on Hidden items in File Explorer’s View menu if the folder looks empty.)
3. Find qbregistration.dat → right-click → Rename → change it to qbregistration.old.
4. Open Notepad and use the template in Intuit’s complete recreation instructions. Replace the version, edition, license and product placeholders with your own values; include a separate block for each installed version as Intuit directs. Do not guess an unsupported edition/year value—ask Intuit if your version is not covered.
5. Save as qbregistration.dat in that folder with Save as type: All Files, not .dat.txt. Reopen QuickBooks and follow registration/activation prompts.

If recreation fails, close QuickBooks, preserve the attempted file separately and rename qbregistration.old back to qbregistration.dat, then contact Intuit or repair the installation. Renaming alone is not the completed repair.

Fix 2: Delete the entitlement file (re-activate)

If it still won’t activate (or you see Error 3371 — “could not load the license data”):

1. Close all QuickBooks processes (Task Manager → end any QBW32.EXE).
2. Win + R → C:\ProgramData\Intuit\Entitlement Client\v8 → Enter. (Older installs: try …\v6.)
3. Delete EntitlementDataStore.ecml.
4. Reopen QuickBooks → it rebuilds the file and prompts you to activate → enter your License & Product number.

Fix 3: Moving to a new or replacement computer

If the goal is a new machine (old one dying/replaced), don’t hand-copy license files — use the supported path:

• Old PC still works: use Intuit’s Migrator Tool (File → Utilities → Move QuickBooks to another computer) to move the install + company file, then activate.
• Old PC is dead: reinstall QuickBooks on the new PC and activate with your License & Product number. (For a discontinued year, activation may still go through; if it doesn’t, contact Intuit — see QuickBooks Desktop 2023 discontinued for what still works.)

FAQ

I don’t have my license number anymore. Sign in to your Intuit account and look under your products/subscriptions, or use Intuit’s license-lookup/recovery. That’s the supported way to recover it — not copying files off the old disk.

Will resetting these files delete my company data? No. qbregistration.dat and EntitlementDataStore.ecml only hold license/registration state — your .qbw company file is separate and untouched. Still, keep a backup of your company file as a habit.

It re-registers but asks again next launch. Confirm the recreated file has the correct edition/year and license values, then use Intuit’s installation repair or contact support. On a managed PC, have IT check the required file permissions rather than granting broad access to ProgramData.
